Tribal Group plc has agreed improved terms for the sale of the Tribal Group businesses to Thames Bidco Limited, a company controlled by funds and accounts managed or advised by Main Capital Partners.
The cash consideration rises from approximately £189.3 million to approximately £231.2 million, which Tribal says is equivalent to approximately 105 pence per ordinary share.
Tribal says this represents a premium of approximately 66.7% to its closing share price of 63 pence on 10 September 2026, the business day before the sale was first announced.
The directors continue to recommend unanimously that shareholders vote in favour, and the board has been advised by Investec Bank plc that the improved terms are fair and reasonable.
New irrevocable undertakings were received from shareholders including Harwood Capital, whose undertaking now covers approximately 15.7% of the issued share capital.
The general meeting to approve the sale was called for 2 October 2026.
